Terms of Service

1. Binding Agreement
These Terms of Service (“Terms”) constitute a legally binding agreement between your educational institution or organization (“Customer”, “Institution”, or “You”) and NeelStack Solutions Private Limited (“NeelStack”, “we”, “us”), governing access to and use of the DhruvaOS enterprise cloud platform, web portal, APIs, and mobile applications.
2. Subscription & License Grant
Subject to these Terms and payment of applicable subscription fees, NeelStack grants the Institution a non-exclusive, non-transferable, worldwide right to access and utilize DhruvaOS during the active subscription term for authorized staff, educators, students, and guardians.
3. Service Level Agreement (99.9% Uptime Commitment)
DhruvaOS is architected for enterprise reliability. NeelStack commits to providing at least 99.9% Scheduled Uptime for core ERP operations, database clusters, and student portal endpoints, excluding announced scheduled maintenance windows.
4. Customer Data Ownership & Confidentiality
The Institution retains exclusive and unconditional ownership of all academic data, student records, fee rosters, employee details, and media uploaded to DhruvaOS. NeelStack claims zero intellectual property rights over institutional records and processes customer data strictly to fulfill service obligations.
5. Acceptable Use & Account Responsibilities
The Institution agrees to maintain the security of its administrative credentials, enforce multi-factor authentication (MFA) on elevated accounts, and ensure institutional users comply with applicable laws and acceptable use standards.
6. Limitation of Liability & Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Gorakhpur, Uttar Pradesh, India.
